We, TWSAA UAE, registered in the UAE under trade license No. 2310096.01, and represented in Dubai by YALOWA L.L.C - FZ, extend our warm welcome to you.

This document outlines the terms and conditions governing your use of the TWSAA platform and the legal implications that arise from your utilization of our web services. By accessing the TWSAA platform and using its services, whether you are a consumer, merchant, or any other user, you signify your acceptance and approval of this agreement. You are considered to have full legal capacity to adhere to and be bound by all the provisions, clauses, and regulations stated in this agreement.

TWSAA platform can be accessed through various electronic mediums, such as websites, mobile applications, or any other electronic platform. Your approval of this agreement and commencement of registration on the TWSAA platform, in accordance with the UAE Electronic Transactions Law, validate the legal enforceability of this agreement.

• Article One - Introduction and Definitions:

The introductory section forms an integral part of this agreement. The following definitions explain key terms used throughout this document:

  • TWSAA: This term refers to the TWSAA for information technology. It encompasses all forms of the TWSAA for information technology accessible on the Internet, including electronic applications or websites on the World Wide Web.
  • Merchant: This term denotes any individual or legal entity registering on the TWSAA platform to establish an online store. It encompasses all aspects of the store while conducting trade through the TWSAA platform, including the merchant's website.
  • Store: This term represents the online store used by the Merchant within the TWSAA electronic platform.
  • Consumer: This term refers to any individual who purchases products or services from the merchant through the merchant's online store established via the TWSAA platform.
  • Agreement: This term denotes the rules, conditions, and provisions governing the usage of the TWSAA electronic platform. It encompasses all the provisions and conditions outlined in this agreement, which regulate the relationship between the parties involved.
  • Service Provider: This term refers to the services provided by the TWSAA platform to merchants through third parties. The provision of services solely involves linking the merchant with the service provider, and the TWSAA platform holds no authority or direct relationship with the agreements concluded between the merchant and the service provider.

• Article Two - merchant's Eligibility

The merchant must meet the following eligibility criteria to register on the TWSAA platform and establish an online store:

  • Legal Capacity: The merchant must possess full legal capacity and be at least eighteen years of age, as required by the laws and regulations in the UAE. Traders below the legal age of majority may be considered if they provide proof of consent from their legal guardian to establish the online store.
  • Compliance with Laws: The merchant must comply with all applicable laws and regulations in the UAE regarding the products and services offered on the TWSAA platform.
  • Verification of Business: The merchant must provide valid and accurate information about their business, products, and services when establishing the store on the TWSAA platform.
  • Legal Entities: If registering as a legal entity, the merchant must possess the legal capacity and authority to conduct business through the TWSAA platform.

• Article Three - Nature of TWSAA platform's Commitment

The TWSAA platform's primary mission is to provide electronic support for establishing online stores. The platform is responsible for creating the merchant's online store and presenting it to users. Additional services, such as marketing support, guidance, counseling, and electronic payment gateways, may be offered, subject to the terms of this agreement.

The TWSAA platform is not obligated to oversee or manage the transactions between the merchant and the consumers. It acts solely as a technical platform for establishing online stores. Therefore, the platform is not liable for any violations, non-payment, or disputes arising from such transactions.

Similarly, the platform is not responsible for the agreements between the merchant and third-party service providers linked on the platform. Any issues arising from such agreements are not the responsibility of the TWSAA platform.

• Article Four - Store Creation Requirements

1. Legal Eligibility: Any person with legal capacity, as per the laws and regulations, can establish a store on the TWSAA platform.

2. Compliance with Laws: The store and the merchant must adhere to all applicable laws and regulations in the UAE.

3. Registration Obligations: Merchants must provide accurate and truthful information during registration, and they are responsible for maintaining the confidentiality of their account information and passwords.

4. Authorized Use: Merchants must use their online store personally and should not allow others to use it on their behalf without explicit authorization.

5. Updated Information: Merchants must update their registration data if any changes occur.

6. Use of Username: Merchants should not include any personal contact details or phrases indicating a relationship between the store and the TWSAA platform within their username.

• Article Five - Accounts and Registration Obligations

1. Confidentiality: Merchants are responsible for maintaining the confidentiality of their account information and passwords. They must immediately notify the TWSAA platform of any unauthorized use of their account.

2. True and Updated Information: Merchants must provide accurate and up-to-date information during registration and update it when necessary.

3. Relationship with TWSAA: Merchants should not indicate any direct or indirect relationship between their store and the TWSAA platform, its management, employees, or owners.

4. Privacy Policy: The TWSAA platform will treat personal information and contact addresses with confidentiality, in line with its privacy policy.

5. Account Verification: The TWSAA platform may conduct investigations and request additional information or documents to verify the merchant's identity or ownership of the account.

Failure to comply with these requirements may result in the suspension or cancellation of the store, membership, or account on the TWSAA platform.

• Article Six - Electronic Communications and Official Communication Means

By registering on the TWSAA platform, the merchant agrees to receive communications via email or through general messages displayed upon logging into their TWSAA account. All electronic communications, including agreements, advertisements, and data, hold the same legal standing as their written counterparts.

The TWSAA platform may send promotional emails during the merchant's membership to inform about changes, procedures, or new advertising activities on the platform.

• Article Seven - Amendments to the Usage and Fees Agreement

The TWSAA platform will notify merchants of any amendments to this agreement, which may affect their obligations or rights. The platform reserves the right to make amendments, and merchants are considered to accept them upon accessing their TWSAA accounts. Failure to accept amendments may result in access restrictions to the platform's services.

Fees and packages offered by the TWSAA platform may be subject to charges, and the platform can modify them under the terms of the usage agreement.

• Article Eight - Payment and Payment Services for Stores on the TWSAA Platform

The TWSAA platform, through its partners, provides online payment services, but any payment upon receipt is a matter between the consumer, merchant, and service provider. The TWSAA platform may require direct payments between merchants and consumers through their own bank accounts.

Merchants must set prices for their products or services in their stores according to recognized market value and provide proper invoices for transactions.

The TWSAA platform may prevent payment processes that violate the usage agreement or cancel transactions due to technical errors. The platform may also modify available payment methods.

The TWSAA platform provides payment services through the electronic payment gateway in the event that its store is linked with the M5AZN platform for dropshipping services, but in the event that the store is not linked to the M5AZN platform, it provides the merchant with payment service through independent payment service providers. Payments on receipt are a matter between the consumer, the merchant and the service provider. TWSAA platform may require direct payments between merchants and consumers via their bank accounts. Merchants must price their products or services in their stores according to the recognized market value and provide appropriate invoices for the transactions. TWSAA may block payments that violate the usage agreement or cancel transactions due to technical errors. Payment methods available by the platform may also be modified.

• Article Nine - Your Personal Information and Transaction Details Information

By joining the TWSAA platform and establishing a store, the merchant grants the platform an unlimited, global, irrevocable, fee-free license to use the provided personal information for platform interests. The merchant is solely responsible for the information they send or publish on the platform, and store and merchant confidentiality adhere to the platform's "Privacy Policy and Confidentiality of Information."

• Article Ten - The Merchant's Undertaking to Comply with the Laws and Regulations in the UAE

Merchants must comply with all applicable laws and regulations in the UAE regarding their products, services, and usage of the TWSAA platform. This includes electronic transactions, consumer protection, and any relevant laws.

Merchants are responsible for ensuring that their products and services comply with laws, regulations, and intellectual property rights of others, including copyrights, trademarks, and patents. They must also comply with tax regulations, including VAT, and collect applicable taxes on sales transactions.

• Article Eleven - Intellectual Property Rights

The TWSAA platform acknowledges the merchant's intellectual property rights related to their products, services, trademarks, and logos displayed on their store. By showcasing such content on the platform, the merchant grants the TWSAA platform a limited, non-exclusive, royalty-free license to promote the store and facilitate transactions.

All content related to the TWSAA platform, including website design, graphics, logos, images, and software, is the property of the TWSAA platform and protected by copyright and intellectual property laws. Merchants must not reproduce, modify, distribute, or create derivative works from any part of the platform without permission.

• Article Twelve - Prohibited Activities and Content

Merchants are prohibited from using the TWSAA platform for illegal, harmful, fraudulent, or unauthorized purposes. Prohibited activities include posting offensive or defamatory content, engaging in deceptive practices, violating intellectual property rights, selling counterfeit goods, and conducting illegal or fraudulent transactions.

The TWSAA platform reserves the right to investigate and take appropriate action against merchants who engage in prohibited activities or violate the agreement, including account suspension, store removal, and legal action.

• Article Thirteen - Limitation of Liability

The TWSAA platform provides its services on an "as is" and "as available" basis. While the platform strives to ensure the accuracy and reliability of the information and content, it does not guarantee that the platform will be error-free or uninterrupted.

The TWSAA platform shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from the use of or inability to use the platform or any content or services provided on the platform.

The merchant agrees to indemnify and hold the TWSAA platform harmless from any claims, damages, losses, or expenses arising from the merchant's use of the TWSAA platform or any violation of this agreement or any applicable laws and regulations.

The TWSAA platform disclaims all liability for the actions, products, and content of any third-party service providers linked to the platform.

The TWSAA platform shall not be responsible for any disputes or disagreements that may arise between the merchant and consumers or between the merchant and third-party service providers.

• Article Fourteen - Termination

The merchant may terminate their account and close their store on the TWSAA platform at any time by contacting the platform's support team.

The TWSAA platform reserves the right to terminate any account or close any store at its discretion and without prior notice if the merchant violates this agreement or engages in prohibited activities.

Upon termination of the account, the merchant's access to the TWSAA platform and its services will be discontinued, and the TWSAA platform may remove the store and its content from the platform.

The merchant is responsible for fulfilling any pending orders or obligations at the time of termination.

• Article Fifteen - Governing Law and Dispute Resolution

This agreement shall be governed by and construed in accordance with the laws of the UAE.

Any dispute arising out of or in connection with this agreement shall be subject to the exclusive jurisdiction of the competent courts in Riyadh, UAE.

• Article Sixteen - Replacement, Return, and Renewal Policy

  • User accounts and branches in Twsaa have validity periods equal to the subscription period.
  • Purchased accounts are prorated based on the remaining subscription period.
  • The validity of store messages purchased is one year from the date of purchase.
  • Subscriptions in the (Twsaa Plus and Twsaa Pro) packages can be suspended for up to 30 days, twice a year maximum. When canceling a paid subscription, the merchant can continue using the package until the subscription ends.
  • Canceling the subscription requires a bank transfer fee of 8.05 AED, in addition to any other fees imposed.
  • Withdrawing funds from the wallet requires a bank transfer fee of 8.05 AED, plus any other applicable fees.
  • Withdrawals from the wallet are allowed every 14 days.
  • Store design templates cannot be canceled or replaced.
  • Paid packages will be automatically renewed if automatic renewal is activated, provided there is a registered credit card or sufficient wallet balance.
  • When automatic renewal is activated, the balance will be deducted automatically upon issuing the new subscription invoice.
  • If the subscription ends without renewal, the store will revert to the basic package settings.
  • When subscribing to the Pro package, the merchant can continue using it until it expires before reverting to the Plus package.
  • Automatic Renewal: When subscribing to any package, your subscription will be automatically renewed at the end of each previous subscription period unless you cancel the subscription before the renewal date.
  • If the subscription ends without renewal, the store will return to the basic package settings.
  • When subscribing to the Pro package, the merchant can continue using it until its expiration before reverting to the Plus package.
  • Refund Requests: The customer is entitled to request a refund only if they do not wish to renew automatically, within 5 business days from the renewal date.
  • The customer must submit the refund request within 5 business days from the renewal date. After 5 business days from the renewal date, the refund request will be considered invalid, and no refund claims will be accepted after this period.
  • At Twasaa, we are committed to protecting your privacy and the confidentiality of your personal data, ensuring a secure and reliable experience when using our services.

• Article Seventeen - Cancellation of Membership or Store

The TWSAA platform may temporarily or permanently suspend a store, withdraw or cancel a merchant's membership, or restrict access to services if:

  • The merchant violates the usage agreement.
  • The provided user information cannot be authenticated.
  • The merchant's activities violate the law, inconvenience other users, or cause legal violations.

TWSAA may reactivate suspended users at its discretion. However, permanently suspended users may not be allowed to register or restore their account. TWSAA reserves the right to recover any amounts owed or claim damages caused by the merchant's actions.

TWSAA is not obliged to take action against violations but may inform authorities or close the store or cancel the merchant's membership.

• Article Eighteen - Request to Close the Store

The merchant can apply to close their store by providing necessary documents and information to TWSAA. TWSAA may accept or reject the request and claim any rights or financial dues owed by the store.

• Article Nineteen - Payment, Sale, and Purchase Processes

The merchant is responsible for managing their store in a way that ensures consumer satisfaction and resolves any disputes.

The merchant must manage payment, sale, and purchase operations through specified payment methods.

TWSAA reserves the right to refuse or cancel purchases, and the user will be notified within five days.

TWSAA is not responsible for disputes between the merchant and consumers or for defaults in payment.

The merchant agrees not to engage in fraudulent operations and to comply with applicable regulations.

Transferring funds for commercial activities within TWSAA is subject to the authority and regulations of the Monetary Agency in UAE.

TWSAA may impose fees on merchants for their activities on the platform, such as government agency fees or bank fees.

• Article Twenty - Prohibited Contents and Products

Merchants must not allow advertising or publishing any content that violates the platform's privacy policy or this usage agreement.

TWSAA strictly prohibits the sale of certain products and services, including gambling, harmful products, pirated content, sexual or pornographic materials, and more.

• Article Twenty-One - UAE Information Crimes Law

Merchants must not violate any provisions of the UAE Information Crimes Law. TWSAA is not responsible for any violations committed by merchants, and violations may result in account closure or legal actions.

• Article Twenty Two - Restricting Access or Membership

TWSAA may suspend or cancel a merchant's membership or restrict access to services at any time and without notice.

• Article Twenty Three - Warranty

TWSAA does not guarantee repairs or defect-free products. Merchants must adhere to good quality in their online stores and provide warranties if specified.

• Article Twenty Four - merchant's Responsibility

The merchant is responsible for protecting TWSAA from any damages resulting from their actions. TWSAA may take appropriate legal measures against fraudulent activities.

• Article Twenty Five - Relationship and Notices between Twsaa and Merchants

This usage agreement does not establish a partnership between any merchant and Twsaa. Merchants are not allowed to indicate or imply any direct or indirect relationship between them and Twsaa. Any notices to be sent to Twsaa must be communicated via email, and Twsaa will respond accordingly. Twsaa will also deliver notices to merchants through the email provided during the registration process.

• Article Twenty Six - Transfer of Rights and Obligations

The merchant does not have the right to object to Twsaa's actions concerning the platform's entity, obligations, ownership, responsibilities, technical or administrative actions. Twsaa is not obliged to inform the merchant about these actions but may choose to do so at its discretion.

• Article Twenty Seven - Applicable Law and Legislation

This usage agreement is governed by the laws, regulations, and legislation of the UAE, subject to the jurisdiction of the competent authorities in the country.

• Article Twenty Eight - Rules that the Store Must Follow When Dealing with the Consumer

Merchants are bound to deal with consumers honestly, with integrity, and adhering to good morals.

• Article Twenty Nine - Paper and Electronic Promotional Publications and Offers for Twsaa

All paper and electronic promotional publications across various platforms and social media are subject to the rules and provisions of this usage agreement. These publications are promotional tools for Twsaa and are subject to change without notice. Twsaa is not bound by these publications concerning the stability of prices or offers. Temporary offers have specific periods, and Twsaa may modify or cancel them at its discretion.

• Article Thirty - Third Party Services

Twsaa may provide strategic or logistical services through third-party providers, such as shipping and delivery services. These services are meant to facilitate users experience, and Twsaa is not directly responsible for any actions of third-party providers. Users must review the conditions and costs set by these providers. By requesting a third-party service, users authorize Twsaa to share necessary personal data with the service provider.

Some services provided by third-party providers may benefit merchants through agreements with Twsaa. Merchants are billed directly by these providers, and Twsaa is not liable for any issues with the services.

• Article Thirty One - Technical Support

Twsaa provides technical support services to stores and merchants based on their package privileges. Additional services may be available subject to fees. Technical support helps with platform-related issues and enhances store operations.

• Article Thirty Two - Dispute Resolution

In the event of a dispute, parties are encouraged to resolve it through conciliation, negotiation, or amicable settlement. If the dispute persists, it will be resolved through the competent authorities in the UAE.

• Article Thirty Three - Policy for Receiving Consumer Complaints and Settling Disputes between the Consumer and the Store

For resolving complaints against consumers or stores, Twsaa encourages the following steps:

  1. Submit a complaint via the link provided on Twsaa, including relevant details and supporting documents.
  2. If the store does not respond within seven days, the consumer will be informed and provided with the store's legal identity to pursue further action if desired.
  3. The consumer may take appropriate action based on the store's response.

• Article Thirty Four - General Provisions

Cancellation or unenforceability of any part of this usage agreement does not invalidate the remaining provisions. This usage agreement constitutes the agreement between the merchant and Twsaa, superseding all previous understandings or contracts. Some services may be supported or secured by external entities, and the merchant's relationship with these entities is direct without involving Twsaa. Twsaa's failure to exercise its rights under this agreement does not waive these rights. Changes to this agreement require written and signed approval from Twsaa. By using Twsaa, users agree to all rules and provisions in this agreement and the privacy policy. This agreement applies to users in their relationship with Twsaa and others on the platform.
